These Terms of Service (the "Terms") set forth the conditions for use of the WordPress maintenance automation tool
"WP Maintenance Manager" (the "Software") provided by LayerWorks Inc. (the "Company").
By downloading, installing, or using the Software, the user (the "User") is deemed to have agreed to these Terms.
Article 1 (Definitions)
- "Software" means WP Maintenance Manager and all associated files, documentation, and updates provided by the Company.
- "User" means any individual or organization that installs or uses the Software.
- "Target Site" means any WordPress site registered in the Software as a maintenance target.
- "Automated Processing" means the collective backup, update, inspection, and recovery operations performed by the Software via SSH, WP-CLI, and browser automation.
Article 2 (License Grant)
Subject to compliance with these Terms, the Company grants the User a non-exclusive, non-transferable right to use
the Software. The User may not use, copy, modify, or redistribute the Software beyond the scope defined in these Terms.
Article 3 (Disclaimers)
Article 3-1 — Automated Processing
The Software automatically performs updates to WordPress core, plugins, themes, and translations, as well as
database backups, visual checks, and auto-recovery operations. The Company makes no warranties regarding the
results of these operations. In particular, the Company shall not be liable for:
- Visual layout breakage, functional failure, errors, or data loss caused by updates to WordPress core, plugins, or themes.
- Failures caused by plugin compatibility issues (including PHP version mismatches or failed updates of premium plugins requiring license activation).
- Damage resulting from backup failures, incomplete backup data, or inability to restore from a backup.
- Service interruptions or unintended site changes caused by auto-recovery operations (e.g. automatic deactivation of a fatally errored plugin).
- Unexpected side effects caused by SSH connections, WP-CLI execution, or Playwright browser automation.
- Issues arising from post-update pending tasks (e.g. a required database upgrade or unaddressed admin notices).
Article 3-2 — External Environments and Third-Party Services
- Specification changes, service outages, or access restrictions on the part of hosting providers (Xserver, Sakura Internet, Heteml, ConoHa, etc.).
- Specification changes to the WordPress.org official repository, or changes to the distribution policies of individual plugins or themes.
- Processing failures caused by incorrect SSH credentials, WP-CLI paths, or admin account information entered by the User.
- Incomplete processing due to network outages, timeouts, or insufficient server resources.
- Unauthorized access, malware infection, or server intrusion by third parties.
Article 3-3 — Email Notifications
The email notification feature provided by the Software is intended solely for reporting maintenance results.
The Company shall not be liable for any damage caused by undelivered, delayed, or inaccurate notification emails.
⚠ Important:
It is strongly recommended that you manually back up the database and files of all Target Sites before
running the Software's automated processes. The Company accepts no liability for any data loss
resulting from the Software's execution.
Article 4 (Limitation of Liability)
Even in cases where damages to a User are attributable to the Company, the Company's total liability shall not
exceed the total amount paid by the User to the Company during the 12 months immediately preceding the occurrence of the damage.
The Company shall not be liable for lost profits, loss of business opportunities, data loss, system downtime,
reputational harm, or any indirect, special, consequential, or incidental damages
(even if the Company was advised of the possibility of such damages).
Article 5 (User Responsibilities)
- Regularly backing up and managing the databases and files of all Target Sites.
- Properly managing and protecting SSH credentials (private keys, passphrases) and WordPress admin account information.
- Ensuring the security of the computer and network environment used to run the Software.
- Verifying site operation after each update and responding promptly to any anomalies.
- Holding legitimate authority to manage and operate all Target Sites.
Article 6 (Prohibited Activities)
- Reverse engineering, decompiling, or analyzing the source code of the Software.
- Reselling, sublicensing, or lending the Software to third parties (except where separately authorized by the Company).
- Using the Software to access, alter, or destroy third-party sites without authorization.
Article 7 (Intellectual Property)
All intellectual property rights in the Software belong to the Company or to third parties from whom the Company
has legitimately obtained such rights. These Terms do not transfer or grant any such rights to the User.
Article 8 (Modifications, Discontinuation, and Updates)
The Company may modify the specifications or features of the Software, distribute updates, or temporarily suspend
or discontinue the Software without prior notice to Users. Users acknowledge in advance that existing settings or
behavior may change as a result of an update.
Article 9 (Changes to These Terms)
The Company may amend these Terms as necessary. Amended Terms take effect from the time they are notified or
published in a manner determined by the Company. Continued use of the Software after an amendment constitutes
acceptance of the revised Terms.
Article 10 (Governing Law and Jurisdiction)
These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from
these Terms shall be subject to the exclusive jurisdiction of the district court or summary court having
jurisdiction over the Company's registered location, as the court of first instance.
